1. The service and these terms
Topsail is a cloud-based revenue-enablement platform operated by Easy Company Consulting, LLC d/b/a Topsail (“Topsail,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of Topsail and its Outlook / Microsoft 365 connection (the “Service”). By creating an account, connecting Microsoft 365, or otherwise using the Service, you (“Customer”) agree to these Terms.
Topsail connects to Microsoft 365 through the Microsoft Graph API to send email you direct Topsail to send, track replies and delivery failures, and support connected email workflows. An email signature may be stored and appended to outgoing messages; you may need to supply it in Topsail.
The current Outlook connection does not request calendar permissions. Calendar access or additional features requiring new permissions will require a separate authorization step.
Optional AI-assisted features are described in the Topsail Privacy Policy. Customer Data is not used to train general-purpose AI models.
2. Eligibility and account security
- You must be at least 18 and authorized by your employer to accept these Terms and connect the selected Microsoft account.
- You are responsible for activity under your credentials and must protect your Topsail and Microsoft account credentials.
- Promptly remove access for users who are no longer authorized and notify Topsail of suspected unauthorized use.
3. Relationship to Microsoft
Topsail is an independently developed third-party application. Microsoft does not produce, endorse, or support Topsail and assumes no liability for the Service. Your Microsoft account and Microsoft 365 services remain subject to your agreements with Microsoft.
4. Current Microsoft permissions
By granting consent, you authorize the delegated permissions displayed by Microsoft. The current connection requests:
openid and profile — sign you in and access basic identity information.offline_access — maintain the connection using refresh tokens while you are offline.Mail.Read — read mail in your mailbox.Mail.ReadWrite — create, read, update, and delete mail in your mailbox. This permission does not itself allow sending.Mail.Send — send mail as you.MailboxSettings.Read — read mailbox settings.
Microsoft grants mailbox-wide read/write permissions; they are not restricted to messages created in Topsail. Topsail uses connected mail access for the email features you authorize, including scanning inbox and junk-folder message metadata and previews to identify replies or delivery failures, processing relevant message content, and sending or replying to messages you direct Topsail to send.
If additional scopes are required later, we will update these Terms and the Outlook Privacy Statement and present the additional permissions through Microsoft consent before you grant access.
5. Customer data and privacy
The Outlook Privacy Statement and Topsail Privacy Policy explain how we collect, use, and protect Customer Data. Customer retains all rights to Customer Data. We process it to provide and improve the Service in accordance with these Terms, the applicable privacy policy, and customer instructions.
Integration credentials and workflow data are stored in tenant-scoped systems. Data is encrypted in transit and at rest by the underlying cloud infrastructure. Access is controlled through authentication, application permissions, tenant scoping, and operational restrictions.
6. Acceptable use
You agree not to upload malware, attempt unauthorized access, send spam, store unlawful content, reverse-engineer or decompile the Service, or attempt to extract its source code. You remain responsible for the content, recipients, timing, and legality of your communications. We may suspend or terminate accounts that violate this section.
7. Fees and payment
If you subscribe to a paid plan, you must pay all fees shown during in-product checkout or on an executed Order Form. Fees are non-refundable except as required by law. Price changes will be provided at least 30 days in advance.
8. Intellectual property
Easy Company Consulting, LLC retains all rights, title, and interest in the Service and its underlying technology. All trademarks, logos, and service marks displayed are the property of their respective owners.
9. Confidentiality
Each party will protect the other’s Confidential Information with at least the same care it uses for its own and will use such information only as permitted under these Terms.
10. Term, termination, and disconnection
These Terms take effect when you first use the Service and continue until terminated. You may stop using the Service at any time. We may suspend or terminate the Service for material breach with 30 days’ notice, or immediately for egregious violations.
You may disconnect Outlook in Topsail or revoke Topsail’s permissions in your Microsoft account or through your organization’s Microsoft administrator. Revoking access stops new authorized Microsoft API access but does not automatically delete data already processed.
After a subscription ends, you have a 30-day period to retrieve or request export of Customer Data. Retention and deletion, including applicable legal and backup retention, follow the Topsail Privacy Policy and customer agreement.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EASY COMPANY CONSULTING, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASY COMPANY CONSULTING, LLC’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES PAID BY CUSTOMER FOR THAT PERIOD. EASY COMPANY CONSULTING, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Indemnification
Customer will indemnify and hold harmless Easy Company Consulting, LLC from any third-party claim arising out of Customer’s use of the Service in violation of these Terms or applicable law.
14. Changes to these terms
We may update these Terms by posting a revised version on this page. Changes become effective 30 days after posting. Continued use of the Service constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-laws principles. Any dispute will be litigated exclusively in the state or federal courts located in Deschutes County, Oregon.
16. Entire agreement and severability
These Terms constitute the entire agreement between you and Easy Company Consulting, LLC regarding the Service and supersede all prior agreements regarding that subject. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
