Topsail Terms of Service

Topsail is a cloud-based revenue-enablement platform operated by Vision & Story, LLC (“Vision & Story,” “we,” “our,” “us”). These Terms of Service (“Terms”) govern your access to and use of Topsail, our related websites (including https://topsail.app), and the Outlook / Microsoft 365 integration (collectively, the “Service”). By creating an account, installing the Outlook add-in, connecting Microsoft 365, or otherwise using the Service, you (“Customer”) agree to be bound by these Terms.

1 . The Service

Topsail connects to Microsoft 365 via the Microsoft Graph API to help revenue teams work faster:

  • E-mail workflows — compose and send mail inside Topsail; append your Outlook signature automatically; track replies on sent threads.

  • Calendar workflows — generate self-service scheduling links, create or update Outlook events, and notify sellers when a calendar event is linked to a Topsail deal.

  • Optional AI assistance — create mail summaries and contact insights (no message bodies stored after send).

Topsail does not access messages or events you did not create or send through the platform.

2 . Eligibility & Accounts

  • You must be 18 years or older and authorised by your employer to accept these Terms.

  • You are responsible for all activity under your credentials and must keep passwords and OAuth tokens secure.

3 . Relationship to Microsoft

Vision & Story, LLC is a Microsoft Partner Center verified publisher (MPN ID 6989004). Microsoft has verified our organisational identity and therefore shows a “verified” badge during the consent flow; however, Topsail remains an independently developed third-party application that is neither produced, endorsed, nor supported by Microsoft, and Microsoft assumes no liability for the Service.

4 . Microsoft 365 Permissions

By granting consent you authorise Topsail to use the Graph scopes exactly as displayed on the Microsoft consent screen:

Calendars.Read              – read your own calendars
Calendars.Read.Shared       – read calendars shared with you
Calendars.ReadWrite         – create and edit events in your calendars
Calendars.ReadWrite.Shared  – create and edit events in shared calendars
Mail.Read                   – read mail you create in Topsail and thread headers¹
Mail.ReadWrite              – update flags on those messages
Mail.Send                   – send mail you compose in Topsail
MailboxSettings.Read        – retrieve your signature block and time-zone setting
offline_access              – refresh tokens while you are offline
User.Read                   – read basic profile (for sign-in display)

¹ Topsail never fetches bodies of messages you did not author inside the platform.

If additional scopes are required later, we will (i) update this section and the Privacy Statement, and (ii) present them on the Microsoft consent screen before you grant access.

5 . Privacy

The Privacy Statement (https://visionandstory.com/privacy) explains how we collect, use, and protect Customer Data. By using the Service you consent to that policy.

6 . Customer Data & Security

  • Ownership — Customer retains all rights to Customer Data.

  • Processing — We process Customer Data solely to provide and improve the Service in accordance with these Terms and our Privacy Statement.

  • Security

    • All traffic uses TLS 1.2+.

    • OAuth tokens and limited mail/calendar metadata are stored in Google Firestore, encrypted at rest with AES-256 by Google-managed keys.

    • Infrastructure (Google Cloud — us-central1; AWS CloudFront for static files) is SOC 2 Type II and ISO 27001 certified.

    • Access is restricted by principle of least privilege IAM roles and Firebase security rules.

    • Google Cloud Logging & Error Reporting provide automated alerting.

7 . Acceptable Use

You agree not to:

  1. Upload malware or attempt unauthorised access to any system.

  2. Use the Service to send spam or store unlawful content.

  3. Reverse-engineer, decompile, or attempt to extract source code.

We may suspend or terminate accounts that violate this section.

8 . Fees & Payment

If you subscribe to a paid plan you must pay all fees shown during in-product checkout or on an executed Order Form. Fees are non-refundable except as required by law. Price changes will be provided at least 30 days in advance.

9 . Intellectual Property

Vision & Story retains all rights, title, and interest in the Service and its underlying technology. All trademarks, logos, and service marks displayed are the property of their respective owners.

10 . Confidentiality

Each party will protect the other’s Confidential Information with at least the same care it uses for its own and will use such information only as permitted under these Terms.

11 . Term & Termination

  • Term — These Terms take effect when you first use the Service and continue until terminated.

  • Termination by Customer — You may stop using the Service at any time.

  • Termination by Vision & Story — We may suspend or terminate the Service for material breach with 30 days’ notice (or immediately for egregious violations).

  • Effect — Upon written request we will delete or return Customer Data within 30 days, except for data we must retain under law.

12 . Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” VISION & STORY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13 . Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISION & STORY’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES PAID BY CUSTOMER FOR THAT PERIOD. VISION & STORY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14 . Indemnification

Customer will indemnify and hold harmless Vision & Story from any third-party claim arising out of Customer’s use of the Service in violation of these Terms or applicable law.

15 . Modifications

We may update these Terms by posting a revised version at https://visionandstory.com/termsofservice. Changes become effective 30 days after posting. Continued use of the Service constitutes acceptance.

16 . Governing Law & Venue

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-laws principles. Any dispute will be litigated exclusively in the state or federal courts located in Deschutes County, Oregon.

17 . Entire Agreement; Severability

These Terms constitute the entire agreement between you and Vision & Story regarding Topsail and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
